Terms of Service

Welcome to PawsRx. These Terms of Service ("Terms") govern your use of the PawsRx website, platform, and related services (collectively, the "Service") operated by PawsRx, LLC ("PawsRx," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

PawsRx is a technology platform that connects pet owners with independent, licensed veterinarians and accredited compounding pharmacies. We facilitate veterinary telehealth consultations and medication fulfillment through our network of providers.

PawsRx is not a veterinary practice. We do not employ veterinarians, and we do not provide veterinary medical advice, diagnosis, or treatment. All clinical decisions are made by independent, licensed veterinarians in our network. Our clinical services are provided through OpenLoop Health, and medications are compounded and dispensed by PCAB-accredited pharmacies, including Mixlab.

2. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy and HIPAA Notice. We may update these Terms from time to time, and continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

3. Eligibility

You must be at least 18 years of age to use PawsRx. By using the Service, you represent that you meet this requirement.

PawsRx is currently available to residents of the following states: California, Ohio, Arizona, Florida, Vermont, Virginia, Oklahoma, and the District of Columbia. You are responsible for ensuring that you are located in an eligible state when using the Service.

4. Account Registration and Security

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please notify us immediately at hello@pawsrx.io if you suspect unauthorized access to your account.

5. Subscription and Billing

PawsRx offers monthly subscription plans ranging from $45 to $110 per month, depending on your pet's needs. Subscriptions are billed on a recurring monthly basis through Stripe, our payment processor.

• You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
• We do not offer refunds for partial months. If you cancel mid-cycle, you will retain access to the Service through the end of your current billing period.
• We reserve the right to change subscription pricing with reasonable notice. Any price changes will take effect at the start of your next billing cycle.

6. Medical Disclaimer

PawsRx is a technology platform, not a veterinary practice. We do not provide veterinary medical advice, diagnosis, or treatment. All clinical assessments and prescribing decisions are made solely by independent, licensed veterinarians who use the PawsRx platform.

The Service is not a substitute for in-person veterinary care. If your pet is experiencing a medical emergency, please contact your local emergency veterinary clinic immediately.

7. Compounded Medications

Medications prescribed through PawsRx are compounded by licensed, PCAB-accredited pharmacies. Compounded medications are prepared based on a veterinarian's prescription to meet the specific needs of your pet.

Compounded medications are not FDA-approved and are not commercially manufactured drugs. They are custom-prepared by licensed pharmacists. While compounding is a legal and well-established practice, you should discuss any questions about your pet's medication with your prescribing veterinarian.

8. User Responsibilities

When using PawsRx, you agree to:

• Provide accurate and complete information about your pet's health history, symptoms, and current medications.
• Follow the instructions and recommendations provided by your veterinarian.
• Administer medications as directed and report any adverse reactions promptly.
• Use the Service only for its intended purpose and not for any unlawful activity.
• Not share your account credentials or allow others to access the Service through your account.

9. Intellectual Property

All content, design, branding, software, and other materials on the PawsRx platform are the property of PawsRx, LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any portion of the Service without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, PawsRx, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, damages related to veterinary care outcomes, medication effects, or any interruption of service.

Our total liability to you for any claims arising from the Service shall not exceed the amount you paid to PawsRx in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

11. Termination

You may close your account at any time by contacting us at hello@pawsrx.io. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion, with reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
